Terms of service
Version 2026-11-03 · Last updated 3 November 2026
These terms are an agreement between Kennivate Technologies (the provider of Shopnasi), Nairobi, Kenya("we", "us"), and the business that creates a Shopnasi account ("you"). By creating an account or using Shopnasi you agree to these terms, our Privacy policy and our Data processing terms.
1. The service
Shopnasi is online software for running a business: point of sale, stock, sales and purchasing documents, accounting, an online shop, email campaigns and related tools. What you can use depends on your plan.
2. Your account and your team
- The person who signs up becomes the account owner and must be at least 18 and allowed to act for the business.
- Give accurate details and keep them up to date.
- Keep passwords and POS PINs private. You are responsible for what happens under your account.
- The owner decides who joins the account and what they can do. You are responsible for your team members and for removing people who should no longer have access.
3. Free trial and the Free plan
- New accounts may get a free trial of a paid plan. The trial ends at midnight (Nairobi time) at the end of its last day.
- During a trial you can't take online payments (M-Pesa or card) through Shopnasi. Paying for a plan unlocks them straight away.
- If you don't choose a paid plan, the account moves to the Free plan when the trial ends. Your data is kept.
- On a smaller plan, anything over its limits (for example extra products, branches or team members) is paused, not deleted, and comes back if you upgrade.
4. Plans, billing and payment
- Paid plans are billed in advance, monthly or yearly. Prices are shown on our pricing page.
- If we are registered for VAT, VAT is added as shown on the invoice.
- Upgrades take effect straight away; you pay the difference for the rest of the current period.
- Moving to a cheaper plan takes effect at the end of the period you have paid for.
- If an invoice is still unpaid a few days after its due date, the account moves to the Free plan. Your data is kept and paid features come back when you choose a plan again.
- We may change prices. We will tell you before a change affects what you pay.
5. Cancelling
- The owner can cancel a paid plan at any time in Settings → Billing.
- You keep your plan until the end of the period you have paid for; then the account moves to the Free plan.
- We don't refund the unused part of a period. You can undo a cancellation before it takes effect.
6. Payments you receive from your customers
Online payments from your customers (M-Pesa and card) go through your own Paystack account, under Paystack's terms. We are not a bank or payment provider, we don't hold your money, and we are not part of the sale between you and your customer. You are responsible for your prices, taxes, refunds, deliveries and customer service. Any ready-made wording we offer for your invoices, quotes or payment terms is a sample to start from, not legal advice — check it fits your business before you use it.
7. Your online shop
You are responsible for what you publish on your shop website: products, prices, photos, text and your own terms and privacy notice for your customers. Your shop's web address is held for you; if you change it or close your business, the old address is kept unavailable to others for 90 days. If you connect your own domain, you own it and look after it (renewing it and its DNS records); if it lapses or its records change, your shop stops opening on that domain, but your Shopnasi address keeps working.
8. Email campaigns
- Campaigns are sent from your own business domain, which you must verify first.
- Only email people who agreed to hear from you or are your genuine customers. Never use bought, rented or scraped lists.
- Every campaign includes an unsubscribe link. People who unsubscribe or report your email as spam are not emailed again, and you can't put them back.
- To protect every business sending through Shopnasi, we automatically pause your campaigns if too many recent emails bounce (over 5%) or are reported as spam (over 0.1%). We resume them once the cause is fixed.
- Monthly email limits depend on your plan.
9. Acceptable use
You must not use Shopnasi to:
- break any law, including tax, consumer protection, data protection and anti-spam laws;
- sell illegal, counterfeit or dangerous goods, or carry out fraud or scams;
- send spam or messages people did not agree to receive;
- upload malware, or try to break, overload, test or get around the security of the service;
- access another business's data, or resell or copy the service without our written agreement.
If you break these rules we may limit or suspend your account. Where we can, we will tell you first and give you a chance to fix it.
10. Your data
- The data you put into Shopnasi belongs to you.
- The owner can export all of the business's data at any time (Settings → Organisation → Export all data).
- You are responsible for keeping the records the law requires you to keep, such as tax records.
- For your customers' and suppliers' personal details, you are in charge and we handle them on your behalf. See our Data processing terms.
11. Support access
To help you, our support team may open your account. Usually this is view-only. When you ask us to do something for you (for example, adding your products or setting up your online shop), support may open it to make changes for up to 2 hours: the account owner is emailed with the reason as soon as it starts, and every change is recorded in your activity log. Support can never see or change passwords, team members, billing, payments or your payment provider details, and never deletes your business. Every support visit is recorded and can be reviewed.
12. Closing your business
The owner can close the business at any time (it can't be closed while invoices to us are unpaid). There is a 30-day period to change your mind and to download your data; after that the business's data is permanently deleted, apart from our own billing records. Copies in our backups are removed within 14 days after that.
13. Availability and changes to the service
We work to keep Shopnasi available and your data safe, but we can't promise it will never be interrupted, for example during maintenance or problems at our providers. We may improve, change or remove features; we will tell you in advance about changes that significantly reduce what your plan includes.
14. Liability
To the extent the law allows, we are not liable for indirect or consequential losses, such as lost profit, lost sales or lost data you could have exported, and our total liability is limited to what you paid us in the 12 months before the claim. Nothing here limits liability that the law does not allow to be limited.
15. Suspension and ending
We may suspend or close an account that seriously or repeatedly breaks these terms, puts other businesses at risk, or is required to be closed by law. You can stop using Shopnasi at any time.
16. Changes to these terms
We may update these terms. We will tell you about important changes before they take effect, and ask you to accept them where the law requires.
17. Law and disputes
These terms are governed by the laws of Kenya. We will first try to resolve any dispute by talking to you; if that fails, the courts of Kenya will decide.
